1. Acceptance

By accessing or using the AGLedger website at agledger.ai, agledger.io, or any of their respective subdomains (collectively, the “Website”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Website.

These Terms govern your use of the Website only. Use of the AGLedger software product is governed by the AGLedger Software License Agreement, which is a separate document.

2. Description of the Website

The Website provides information about AGLedger’s products and services, including documentation, blog content, API reference, and compliance mappings. The Website does not require account creation or registration.

You may use the Website for lawful purposes to learn about AGLedger’s products and read documentation.

All content on the Website, including text, graphics, logos, images, documentation, code samples, and the AGLedger trademark, is the property of AGLedger LLC or its licensors and is protected by applicable intellectual property laws.

You may view, download, and print Website content for personal, non-commercial reference, provided you retain all copyright and proprietary notices. Code samples in the documentation may be used in accordance with the applicable license terms noted alongside them.

AGLedger, the AGLedger logo, Agentic Ledger, Settlement Signal, and Agentic Operations and Accountability Protocol (AOAP) are trademarks of AGLedger LLC. Use of these marks without prior written consent is prohibited.

6. Free software downloads — Developer Edition

AGLedger offers a no-fee tier of its software, branded Developer Edition, for evaluation, development, and proof-of-concept use. Downloading and using the Developer Edition constitutes acceptance of the license terms included with the software. The Developer Edition is provided without warranty or support. Use of the Developer Edition in production is permitted for single-node, non-federated deployments.

Developer Edition instances send anonymous usage telemetry (a heartbeat every 48 hours containing only instance ID, software version, deployment mode, and uptime hours — no personal data, no customer content). Telemetry can be disabled by setting AGLEDGER_TELEMETRY=false. See our Privacy Policy for details.

7. Third-party links

The Website may contain links to third-party websites. AGLedger does not control and is not responsible for the content, privacy practices, or availability of third-party sites.

8. Privacy

Your use of the Website is also governed by our Privacy Policy, which describes the information we collect and how we use it.

9. Disclaimer of warranties

The Website is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

AGLedger does not warrant that the Website will be uninterrupted, error-free, or free of harmful components. Content on the Website, including documentation and compliance mappings, is provided for informational purposes and does not constitute legal, compliance, or professional advice.

10. Limitation of liability

To the maximum extent permitted by applicable law, AGLedger LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, use, goodwill, or business opportunity, arising out of or related to your use of the Website, even if advised of the possibility of such damages.

AGLedger LLC’s total aggregate liability for all claims related to the Website — under any theory of liability — shall not exceed one hundred U.S. dollars ($100.00). This cap applies even if any remedy fails of its essential purpose. Because the Website is provided without charge, you acknowledge that this cap is a material inducement for AGLedger to make the Website available at all.

Your liability to AGLedger is not limited by this Section and is governed by Section 12 (Indemnification).

Any claim arising out of or related to your use of the Website must be commenced within one (1) year after the cause of action accrues, to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless AGLedger LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your violation of these Terms or misuse of the Website.

12. Governing law

These Terms are governed by the laws of the State of Idaho, without regard to its conflict of laws provisions.

13. Dispute resolution

Any dispute arising under these Terms shall first be subject to good-faith negotiation for thirty (30) days. If unresolved, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association in Ada County, Idaho. Each party bears its own costs.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or representative action.

14. Termination

AGLedger may suspend or terminate your access to the Website at any time, for any reason, without notice. These Terms survive any such termination with respect to provisions that by their nature should survive (including Sections 5, 10, 11, 12, and 13).

15. Changes to these Terms

AGLedger may update these Terms at any time by posting the revised version on the Website with an updated “Last Updated” date. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms. For material changes, AGLedger will provide notice by prominently posting a notification on the Website.

16. Severability

If any provision of these Terms is held unenforceable, the remaining provisions continue in full force and effect.
